SoftBank executes $40B bridge facility agreement for OpenAI follow-on investment
SoftBank Group Corp. announced that it entered into a bridge facility agreement with a total facility amount of USD 40.0 billion. The agreement is equivalent to JPY 6,384.0 billion at a conversion rate of USD equals JPY 159.60. The bridge facility agreement is for the purpose of raising funds required for the follow-on investment in OpenAI as well as for general corporate purposes.
The company entered into a definitive agreement with OpenAI Group PBC, a U.S.-based company, on February 27, 2026, U.S. time, to make the follow-on investments. The follow-on investment totals USD 30.0 billion and will be made via SoftBank Vision Fund 2. The bridge facility agreement supports the follow-on investment as announced in the prior disclosure dated February 27, 2026.
Borrowings under the bridge facility agreement are expected to be repaid in stages by the maturity date. The repayments will be made through the utilization of existing assets and other financing measures. The agreement is primarily for the follow-on investments in OpenAI.
